RELATED PARTY TRANSACTIONS | Description | MALTON BERHAD (Malton or the Company) Proposed Exercise Of The Put Option By Khuan Choo Property Management Sdn Bhd (KCPM) To Dispose Of Its Entitlement To 186,667 Square Feet Of Office Space In The Redeveloped Damansara Town Centre (Office Space Entitlement) (Proposed Put Option Exercise) | We refer to our earlier announcements dated 13 May 2013, 12 September 2013 and 29 November 2013 in relation to the above matter. Unless otherwise stated, all abbreviations used herein shall have the same meanings as those stated in the said announcements.
Pursuant to the Put Option Agreement dated 10 May 2013 (“Put Option Agreement”) entered into between KCPM and Impian Ekspresi Sdn Bhd (“IESB”), IESB had given KCPM the right to require IESB to acquire all KCPM’s rights, title, interest and benefits over the Office Space Entitlement upon terms and conditions of the said Put Option Agreement.
At the Company’s Extraordinary General Meeting held on 12 September 2013, the shareholders of the Company had passed a resolution to give a mandate to the Directors of KCPM, at their sole discretion, to exercise the put option under the Put Option Agreement, as and when they deem fit.
In this respect, KCPM had on 7 October 2015 exercised its rights under the Put Option Agreement to require IESB to acquire from KCPM the Office Space Entitlement for a cash consideration of RM154,000,000.00 (“Option Price”) in accordance with the terms and conditions of the Put Option Agreement.
The Option Price shall be paid by IESB to KCPM no later than ninety (90) days from 7 October 2015, being the date of the put option notice being served on IESB, failing which late payment interest shall be payable by IESB at the rate of 8% per annum calculated on a day to day basis.
The Put Option Exercise is expected to raise a total gross sales proceeds of RM154,000,000.00 which is intended to be utilised by the Group as working capital for its projects, repayment of bank borrowings and to finance acquisition of suitable new property projects/land bank. The disposal of the Office Space Entitlement is also expected to realise a gain on disposal of RM14,000,000 (before deducting taxes and costs incidental to the disposal).
As both Tan Sri Lim Siew Choon, the Executive Chairman and a major shareholder of the Company and Puan Sri Tan Kewi Yong, an Executive Director and a major shareholder of the Company are interested in the Proposed Put Option Exercise by virtue of Tan Sri Lim Siew Choon’s substantial shareholdings in IESB, they have accordingly abstained and will continue to abstain from all deliberation and voting at the relevant Board meetings of Malton relating to the Proposed Put Option Exercise.
The disposal of the Office Space Entitlement by KCPM to IESB pursuant to the Proposed Put Option Exercise is expected to be completed before the end of the financial quarter ending 31 December 2015.

馬頓明年推8億房產‧放眼10億新工程

(吉隆坡25日訊)馬頓(MALTON,6181,主板產業組)計劃明年推出8億令吉房產項目,並放眼額外增加10億令吉的新建築合約。
馬頓企業融資董事黃子傑在股東大會後表示,公司計劃2016財政年推介兩個新的項目,分別為Ukay Spring及Amaya Duta,發展總值超過8億令吉。
他認為,公司此前面對的挑戰除了國家銀行收緊房貸措施外,還包括落實消費稅及馬幣下挫,這使到消費者不敢貿然購屋,只能靜待市場反應。
建築業務方面,他指出,該公司目前握有15億令吉建築工程,包括武吉加里爾城市計劃、柏威年白沙羅高原、皇家柏威年酒店及白沙羅城鎮中心計劃等。
他說,在該公司推出房產項目的帶動下,在新的財政年預計可以額外獲得10億令吉的新建築工程。
黃子傑說,武吉加里爾城市計劃是該公司本身的項目,在2014年推介後,首階段的全部單位包括辦公室、服務式公寓和商場已售罄。
“由於銷售情況理想,相信未來3至5年將可以貢獻可觀的盈利。”
黃子傑表示,該公司在2015財政年維持5億令吉的營業額,60%來自產業銷售,40%貢獻自建築業務。
“至於淨利則由5千200萬令吉下滑至4千600萬令吉,這主要是因為建築工程的雜項開支及推介新項目的宣傳費用等花費所導致。”(星洲日報/財經) |

马顿撤销峇都加湾联营
2016年7月2日
(吉隆坡1日讯)马顿(MALTON,6181,主板产业股)宣布,撤销位于峇都加湾300英亩土地的联营发展协议。
根据日前的文告,马顿决定脱售该地皮给绿盛世(ECOWLD,8206,主板产业股)独资子公司Eco Horizon私人有限公司(EHSB)。
同时,独资子公司Silver Setup私人有限公司(SSSB)与峇都加湾发展私人有限公司(BKDSB),签署撤销协议 ,以取消双方在2012年签署的联营发展协议。
马顿表示,通过撤销协议,Silver Setup将取得Eco Horizon支付5000万令吉的一次过赔偿,来退出该项发展项目。
此外,Silver Setup也能够取回所有支付给峇都加湾发展的预付资金,用作马顿和子公司其他在进行中的产业发展项目。
一旦撤销协议在明年生效,马顿预计在截至2017年6月30日财年可取得一笔一次过获利,有助于减少集团的债务。
2012年10月10日,Silver Setup与峇都加湾发展签署一项联营协议,合作进行综合发展,但至今仍在等着从相关监管单位取得发展批准。【e南洋】
Type | Announcement | Subject | OTHERS | Description | MALTON BERHAD (MALTON OR THE COMPANY)PROPOSED REVOCATION AND RECISSION OF THE JOINT DEVELOPMENT AGREEMENT FOR A MIXED DEVELOPMENT PROJECT IN BATU KAWAN, SEBERANG PERAI SELATAN, PULAU PINANG (PROPOSED REVOCATION) | On 10 October 2012, Silver Setup Sdn Bhd (“SSSB”), a wholly-owned subsidiary of Malton had entered into a Joint Development Agreement (“JDA”) with Batu Kawan Development Sdn Bhd (“BKDSB”) for the joint development of a piece of land measuring approximately 300 acres situated at Batu Kawan, Mukim 13, Seberang Perai Selatan, Pulau Pinang (“Land”), (“JV Development”).
Since October 2012, SSSB and BKDSB had been waiting for the development approvals from the relevant authorities and pending the development approvals, SSSB is unable to commence development on the Land.
On 28 June 2016, BKDSB has decided to sell the Land to Eco Horizon Sdn Bhd (formerly known as Teraju Pasifik Sdn Bhd) (“EHSB”), a wholly-owned subsidiary of Eco World Development Group Berhad vide a conditional sale and purchase agreement dated 28 June 2016 (“BKDSB SPA”). Simultaneously, BKDSB has requested SSSB to revoke and rescind the JDA for a revocation sum of RM50 million to be wholly satisfied in cash by EHSB.

Type | Announcement | Subject | OTHERS | Description | REDESIGNATION OF EXECUTIVE CHAIRMAN | The Board of Directors of Malton Berhad ("Board") has been informed that Tan Sri Lim Siew Choon, Executive Chairman of Malton Berhad, had on 1 November 2016, acquired 19.67% of the total issued and paid-up share capital of WCT Holdings Berhad. He was appointed Executive Chairman of WCT Holdings Berhad on 2 November 2016.
Tan Sri Lim Siew Choon intends to relinquish his position as the Executive Chairman of Malton Berhad and assume the position of the Non-Independent Non-Executive Chairman with effect from 2 January 2017.
His duties and responsibilities as the Executive Chairman will be reassigned to and assumed by the other executive members of the Board.
