The Contract is part of the National Non Revenue Water Program Pendekatan 1 Negeri Perlis. The end client for the Contract as stated in the Letter of Award is Bahagian Bekalan Air, Kementerian Air, Tanah dan Sumber Asli (“KATS”) (the “Client”). As such, the Contract will be funded entirely by the Federal Government.

The Board of Directors of Ranhill is pleased to announce that the Company, had on 28 July 2020 received a letter from Wali Kota Bandung accepting our proposal to build, operate and transfer of 350L/S (30MLD) Water Treatment Plant for Sistem Penyediaan Air Minum (“SPAM”) Regional Metropolitan Bandung Selatan Phase 2. (“Project”) subject to negotiation with the relevant government agencies.
INFORMATION ON THE PROJECT
The works under this Project comprises the supply of all materials, labour and applicable necessaries for the execution, completion, testing, commissioning of the water treatment plant :- Scope of Work To design and build of the following water treatment plant process: - Chemical Dosing Package (included Pre-Chlorine, Alum Dosing Package, and Polymer Dosing Package)
- Mixing Chamber
- Dissolved Air Flotation system with Sand filtration (“RVP”)
- Disinfection with Chlorine Contact Tank
- Treated water storage with Clear Water Tank
- Operate and maintenance of the treatment plant for 30 years with water tariff IDR 3,200 per m3
Upon conclusion of negotiations with the relevant government agencies, Ranhill, the Wali Kota Bandung Government agency and the offtaker for Kota Bandung, PDAM Tirtawening Kota Bandung, will execute the relevant Project agreement(s).
FINANCIAL EFFECTS OF THE PROJECT
The execution of the Project will not have any material effect on the earnings, net assets and gearing of Ranhill for the current financial year ending 31 December 2020.
The execution of the Project will not effect on the issued and paid-up share capital and the substantial shareholders’ shareholdings of Ranhill.
DIRECTORS AND MAJOR SHAREHOLDERS’ INTEREST
None of the Directors, substantial shareholders of the Company and persons connected to them has any interest, direct and/or indirect, in the Project.
STATEMENT BY DIRECTORS
The Board, having taken into consideration all aspects of the Project is of the opinion that it is in the best interest of Ranhill.

Type | Announcement | Subject | MEMORANDUM OF UNDERSTANDING | Description | RANHILL UTILITIES BERHAD ("Ranhill" or "the Company")- INVITATION TO UNDERTAKE A DUE DILIGENCE EXERCISE ON INDAH WATER KONSORTIUM SDN BHD | INTRODUCTION The Board of Directors of Ranhill is pleased to announce that the Company had on 2 December 2020 received a letter from Minister of Finance, Incorporated ("MOF Inc") inviting the Company to undertake a due diligence exercise on Indah Water Konsortium Sdn Bhd ("IWK") for the proposed disposal by Minister of Finance, Incorporated ("MOF Inc") of its interest in IWK ("Proposal"). Prokhas, a private limited company wholly-owned by MOF Inc was appointed by MOF Inc to represent MOF Inc as its consultant for the Proposal.
INFORMATION ON THE INVITATION The Company had on 26 June 2020, submitted a proposal for a restructuring of IWK that will involve, among others, the disposal by MOF Inc of its interest in IWK to the Company. The invitation from Prokhas for the Company to undertake a due diligence exercise will enable the Company to have access to information that is necessary for the Company to finalise the proposal to MOF Inc.
FINANCIAL EFFECTS OF THE DUE DILIGENCE ON THE PROPOSAL The due diligence exercise for the Proposal will not have any material effect on the earnings, net assets and gearing of Ranhill for the current financial year ending 31 December 2020.
The due diligence exercise will not affect the issued and paid-up share capital and the substantial shareholders’ shareholdings of Ranhill.

The Letter of Award dated 2 February 2021 was received by RWS on 3 February 2021 and is for a Contract value of Ringgit Malaysia: Seven Million Five Hundred Forty Four Thousand and Seventy and Sen Ninety only (RM7,544,070.90). The Contract is part of the infrastructure works being implemented for the development of Muar Timber Industrial Park in Muar, Johor. SJSB is the main contractor appointed by the Real Estate Division & Infrastructure of Johor Corporation (“JCORP”) (the “Client”). As such, the Contract will be funded entirely by JCORP.
2. INFORMATION ON THE PROJECT The Contract involves the supply of labours, materials, tools, machineries, equipment, supervision, management, implementation and all things necessary for the execution and completion of the Contract. The scope involves supply and install 500mm diameter of mild steel pipes to the length of approximately 5,300 meter from existing Ranhill SAJ Sdn Bhd’s (“Ranhill SAJ”) supply to the service reservoir. The Contract is to be completed within a period of eight (8) months commencing on 3 February 2021 with completion date being 30 September 2021, or any extended period as approved by SJSB. The Performance Bond shall be in the form of Bank Guarantee for a sum amounting to RM419,115.10, to be submitted within 30 days from the Letter of Acceptance date. The Bank Guarantee shall remain valid and effective until 12 months after the expiry of Defect Liability Period or the issuance of the Certificate of Making Good Defects whichever is the later.
3. FINANCIAL EFFECTS OF THE PROJECT The Contract is to be undertaken and completed within the next eight (8) months and therefore will contribute positively to the earnings of RWS and Ranhill for the financial year ending 31 December 2021.
4. RISK FACTORS The risk factors affecting the Contract comprise the usual project implementation and execution risks, which will be adequately addressed and mitigated by RWS through its existing standard operating procedures and process. RWS have been executing various projects of similar nature since 2005 and will utilise its capabilities and experience in ensuring that all risks will be properly identified, assessed, addressed and mitigated.
5. DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS None of the Directors and/ or major shareholders of the Group and/ or persons connected with them, have any interest, direct and indirect, in the Project.
6. STATEMENT BY DIRECTORS The award of this Contract is a testament of RWS’s capabilities and track records in the water industry. The Directors of Ranhill after having considered all aspects of the Contract are of the opinion that the implementation of the Contract is in the best interest of the Group. The securing of this Contract further solidifies RWS’s reputation throughout Malaysia as a leader in holistic water network management and specifically the NRW reduction sector.

PRW is principally involved in the provision of engineering and design services of oil and gas facilities. By a Service Agreement dated 12 July 2002 between PRW and Ranhill Worley Sdn Bhd (“RWSB”) as amended by a supplemental agreement dated 7 August 2003 and addendum no. 1 dated 10 March 2020, the parties agreed for the exclusive appointment by PRW of RWSB to perform services in respect of all projects awarded to PRW by its client in Malaysia which include but not limited to the provision of design and engineering technical services and knowhow. RWSB which has a 49.0 % equity interest in PRW, is a subsidiary of Ranhill.
The Letter of Award which was received by PRW on 19 July 2022 is for a contract value of Ringgit Malaysia 43.0 million. The contract and the scope of works under the contract for the Project will be undertaken by RWSB. The Company subsequently obtained the approval to release the announcement regarding the award from PTTEP on 12 September 2022. Tan Sri Hamdan Mohamed is a director and substantial shareholder in PRW. Tan Sri Hamdan Mohamad is the Chairman and Chief Executive of Ranhill and a substantial shareholder of Ranhill.
The provision of engineering services by RWSB to PRW for the Project is a recurrent related party transaction (“RRPT”) which is in the ordinary course of business and are on terms not more favourable to Tan Sri Hamdan Mohamad, the related party concerned than those generally available to the public. Ranhill had obtained the renewal of its shareholders’ mandate for the above RRPT at its eighth (8th) Annual General Meeting held on 2 June 2022. Details of the above RRPT are contained in Ranhill’s circular to shareholders dated 29 April 2022.
2. INFORMATION ON THE PROJECT
The SK410B field is one of PTTEP’s global key projects. Successful development of Lang Lebah supports PTTEP’s long-term growth strategy of developing high-quality world-class assets creating further stakeholder value. The development comprised the following scope of works: - 1 x Central Processing Platform (“CPP”) and Jackets (1,650mmsftd)
- 2 x Wellhead Platform (“WHP”) and jackets (each 850mmsftd)
- 1 x Flare Platform
- 1 x 42" trunk lines
- 1 x intra field pipeline
- 2 bridges
PRW brings a unique and proven combination of relevant experience to help PTTEP meet these challenges: - FEED that builds on existing concept and imparts learnings from PRW and RWSB’s similar offshore processing and wellhead platforms including high H2S and CO2 designs
- Highly skilled and specialized FEED team including personnel with expertise from RWSB
- Insight, lessons learned, and knowledge gained from development and operations of Unmanned CPP, including reliability improvement of systems and materials selection
- Track Record of success in developing FEED and Detailed Engineering of projects including capital cost estimates for PTTEP, Petronas and other top producers in the region
PRW’s offering for Lang Lebah capitalises on its integrated organisation. This includes inhouse multidiscipline engineering coupled with specialised services and subject matter experts. PRW provides a capable, skilled, and experienced local team, augmented with subject matter experts from RWSB.
Duration of work is 8 months commencing from date of kick off meeting on 22 July 2022.
3. FINANCIAL EFFECTS OF THE PROJECT
The Project is expected to contribute positively to the revenue and earnings of Ranhill for the financial year ending 31 December 2022.
4. RISK FACTORS
Risk for the Project work includes typical risks associated with performance of engineering services which are the normal course of RWSB business.

The Board of Directors of Ranhill (the “Board”) is pleased to announce that Ranhill Water Technologies Sdn Bhd (“RWT”), a wholly owned subsidiary of Ranhill was recently awarded the Contract by Ranhill SAJ Sdn Bhd (“SAJ”).
On 12 October 2022, RWT received and accepted the Letter of Award (“LOA”) secured through a competitive open tender ("Competitive Open Tender") exercise undertaken by SAJ for a contract value of RM9,780,000.00 (Ringgit Malaysia: Nine Million Seven Hundred and Eighty Thousand Only) excluding Service Tax.
The Contract was awarded in relation to SAJ’s mini capex works programme for the Proposed Rehabilitation of Sembrong Barat Water Treatment Plant ("WTP"), Kluang, Johor for Package 1: Design, Construction, Testing and Commissioning of Microstrainer System and Associated Works (the “Contract”).
SAJ, an 80% owned subsidiary of Ranhill with the remaining 20% owned by The State Secretary Johore, (Incorporated) (Enactment No. 2 1953), is an integrated water operator for the State of Johor and is principally involved in the abstraction of raw water, treatment of water, distribution and sale of treated water to consumers in the State of Johor.
2. INFORMATION ON THE CONTRACT
The completion period for the Contract is stipulated to be nine (9) months, commencing from 15 October 2022 and to be completed by 14 July 2023.
The works consist of reviewing, studying, designing, procuring, constructing, and handing over as needed for the completion of works as specified, intended, or implied, so that completed works are fit for their intended purposes in accordance with the following:
a) Design, Project Management and Supervision; and b) Proposed design, construction, testing and commissioning of the Microstrainer system and associated works for the rehabilitation of Sembrong Barat WTP, Kluang, Johor.
3. FINANCIAL EFFECTS OF THE CONTRACT
The Contract, to be undertaken over the next nine (9) months, will contribute positively to the earnings of RWT and Ranhill for the financial year ending 31 December 2022 and 31 December 2023.
4. RISK FACTORS
The risk factors affecting the Contract comprise the usual operational and execution risks, which will be adequately addressed and mitigated by RWT through its existing standard operating procedures and processes.
RWT having been developing and operating various water, wastewater and sewerage treatment plants in Malaysia, China and Thailand over the past 25 years, will utilise its capabilities and experience in ensuring that all risks will be properly identified, assessed, addressed and mitigated.

The award of this Contract, through Competitive Open Tender exercise, is a testament of RWT’s capabilities and track records in Engineering, Procurement, Construction, Testing and Commissioning (“EPCC”) of Package WTP utilising Microstrainer to minimize the concentration of algae entering the existing water treatment plant for better quality performance.
This will be the first Microstrainer system being utilised in WTP in the country to remove algae from dam water. The Microstrainer system will assist Sembrong Barat WTP overcome the issue of seasonal algae blooming in the Sembrong Dam.
The securing of this Contract is also in line with RWT’s vision and mission of progressively reshaping RWT into a regional leader in water and wastewater treatment that integrates and optimises innovative technological solutions.

The award is as a result of winning submission by MMHE and PRW for the Front End Engineering Design (“FEED”) Design competition in August 2022. Ranhill had on 25 July 2022 announced on the award of the FEED Design for the Kasawari CCS Project by MMHE to PRW for the Project.
PRW is principally involved in the provision of engineering and design services of oil and gas facilities. Kasawari CCS is the world’s largest offshore CCS project, capturing over three (3) million tons per annum of carbon dioxide (“CO2”). The new CCS platform will be located next to the Kasawari Central Processing Facility and linked via bridge. The CO2 will be transported by pipeline 138-km and injected into a depleted offshore gas reservoir.
Ranhill Worley’s scope includes the CO2 technology specification, evaluation and selection, along with design and engineering development for the platform, jacket, bridge, and pipeline. The team’s focus is on development of a well thought-out design solution that meets safety, operability and maintainability requirements while driving for reduced total installed Cost (TIC). The design will be enhanced through use of a digital driven systems and tools including use of Advanced Work Packaging to provide optimal benefit to MMHE and PETRONAS.
Duration of work is about 12 months and to be completed by Q4 of 2023.
