（吉隆坡25日讯）JCBNEXT（JCBNEXT，0058，主板贸服股）创办人兼总执行长郑文基增持股权至45.49%后，连同另一位创办股东黄守辉（译音），以每股1.20令吉展开全面献购。

维持上市地位

JCBNEXT向马交所报备，接获一项无条件强制收购献议，郑文基和黄守辉展开全面献购，出价每股1.20令吉。

根据文告，郑文基今日以每股1.20令吉或总值3384万6377令吉，向澳洲Seek国际投资公司，收购全数2820万5314股，相等于约20.17%股权。随着Seek国际投资脱售股权后，不再是公司大股东。

同时，完成收购之后，郑文基的直接持股率从21.96%，提高至42.13%，而间接持股率则达3.36%。

因此，郑文基有责任以每股1.20令吉，收购JCBNEXT剩余的股权。

至于他、黄守辉和行动一致的人士，总持股率则从37.96%，提高至58.13%。

文告指，大股东有意维持JCBNEXT的上市地位。

闭市折价32%

每股1.20令吉的收购价，相比今日闭市价的1.58令吉低约32%。

（吉隆坡28日讯）独立顾问认为，创办人兼总执行长郑文基和创办股东兼科技总监黄守辉（译音），以每股1.20令吉对JCBNEXT（JCBNEXT，0058，主板贸服股）展开全面献购的建议，“不公平”但“合理”，因此建议股东拒绝该献议。

独立顾问BDO资本顾问有限公司表示，JCBNEXT实际净资产价值（RNAV）为3亿6119万令吉，或每股实际净资产价值2.58令吉。

折价53.5%

而相对于收购价每股1.20令吉，意味着出现了1.38令吉或53.5%的折价。

此外，该收购价相等于截至周四（24日）闭市价的5天、1个月、3个月、6个月和一年成交量加权平均市价（VWAMP），出现介于19.5%至27.7%的折价。

因此，基于上述两项因素，该独立顾问认为献议“不公平”。

同时，根据独立顾问评估，JCBNEXT在过去1年至今年10月的流通率相当稀少，每月平均成交量仅有110万1533股，相等于股票自由流通量的2.1%，导致股东兑现投资收入的机会有限。

“由此，我们认为该献购建议合理，因为这为JCBNEXT股东，尤其是持有较大股权的股东来说，带来兑现投资收入的机会。”

郑文基在11月25日，以每股1.20令吉或总值3384万6377令吉，向澳洲Seek国际投资公司，收购全数在JCBNEXT的2820万5314股，相等于约20.17%股权，进而让持有股权增至45.49%。

随后，他与黄守辉以每股1.20令吉，对JCBNEXT展开全面献购。
