合力小股东应拒献购
2017年4月26日
(吉隆坡25日讯)独立顾问Mercury证券认为,Waras Dinamik私人有限公司以64仙献购合力控股(HALEX,5151,主板工业产品股)“不公平”也“不合理”,建议小股东拒绝该献议。
Mercury证券在通告中指出,每股64仙的献购价“不公平”,因等于每股81仙实际净资产价值(RNAV)的21%折价。
此外,尽管合力控股股价在过去1年内低于献购价,但献购价仍等于3月21日闭市价的折价4.5%。
截至4月20日,该公司股价均高于献购价,与4月20日闭市价、5天交易量加权均价(VWAP)和22天交易量加权均价相比,分别折价30.4%、28.9%与22%。
维持上市地位
同时,该证券行认为,献购方有意维持合力控股上市地位,加上该股流动性高,股东可以在献购期限后,在公开市场中套现,因此该项献议“不合理”。
此外,其他董事包括丹斯里阿都拉曼、拿督威拉哈芝马苏德、莫哈末费沙卡因、菲利安东尼三美、梁嘉曼及郑德彬(皆译音),同意Mercury证券的意见,也建议股东股东拒绝该献议。【e南洋】

合力690万巴生买地
2017年7月13日
(吉隆坡12日讯)合力控股(HALEX,5151,主板工业产品股)以690万令吉买下位于雪州巴生,一块占地334平方米的土地及6层楼商业店铺。
合力控股日前向交易所报备,独资子公司Halex 管理私人有限公司,与Temasek Mentari 私人有限公司签署股权买卖协议,向后者买下一块永久地契地皮。
其中的20%将以现金支付,剩余80%则将通过银行借贷及内部资金来融资。
今年5月,被Waras Dinamik私人有限公司收购之后,合力控股目前正进行重组活动。
合力控股新管理层认为,由于控股公司的核心营运集中在巴生,收购上述地皮能整合及提高公司的整体营运效率。
预计上述收购活动,不会显著影响公司截至12月底2017财年的盈利及每股净利。
同时,也宣布委任现年44岁的洪英生(译音)为财务总监。【e南洋】

This announcement is dated 15 August 2017. | Query Letter Contents | We refer to your Company’s announcement dated 10 August 2017, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:- 1) Net assets / liabilities and net profit / loss of KDSB based on the latest audited financial statements and latest quarterly results. 2) Termination clauses including an event of default by the parties. 3) The breakdown of the disposal proceeds to be utilised for working capital and repayment of bank borrowings respectively, together with the details of the working capital. 4) The expected gain / loss to the Group arising from the Proposed Shares Disposal. 5) Please provide further clarification by incorporating the following additional information (from the completion date of the acquisition of 25% in KDSB by Halex Realty Sdn Bhd (“HRSB”) on 29 September 2014 until 10 August 2017, being the date of the Proposed Shares Disposal):- (i) Material progress development on the Project that has taken place; (ii) Quantification of the total expenditures incurred by HRSB on the aforesaid development. 6) The directors and shareholders of Meriton International Limited. 7) It is noted that the Discounted Cash Flows valuation methodology was used to value the KDSB’s development projects to derive at the consideration of RM22 million when HRSB acquired the 25% equity interest in KDSB on 25 April 2014 (“Acquisition of KDSB in 2014”). As such, please provide a detailed explanation and justification on the adoption of the different valuation methodology for the Proposed Shares Disposal. 8) It is noted that your Company has disclosed in the announcement dated 25 April 2014 that the Acquisition of KDSB in 2014 is to allow your Company to venture into property development. Hence, please provide further justification on your rationale to undertake the Proposed Shares Disposal, which is merely 3 years after the Acquisition of KDSB in 2014. 9) A statement by the Board of Directors on whether the basis in arriving at the disposal consideration is in the best interest of the Company and the reasons thereof. | |
