The Board of Directors of Deleum Berhad (“Deleum” or the “Company”) wishes to announce that TOSB, a wholly owned subsidiary of the Company, had on 24 March 2015, entered into the following agreements: i. a subscription agreement with Deleum and STICO in which STICO has agreed to subscribe for 3,440,000 ordinary shares of RM1.00 each and two (2) redeemable convertible preference shares of RM0.01 each (“RCPS”), representing 19.45% of the total enlarged issued and paid-up capital of TOSB, for a consideration of RM7.00 million (“Consideration”) to be satisfied by the delivery of one (1) Test Skid by STICO to TOSB (“Proposed Subscription”). The two (2) RCPS will carry a total issue price of RM3,560,000.00 which translates to a nominal value of RM0.01 with a share premium of RM1,779,999.99 each; and ii. a test skid agreement with STICO whereby TOSB has agreed to accept and STICO has agreed to deliver one (1) Test Skid as payment in kind for the subscription of shares by STICO in satisfaction of the Consideration pursuant to the Proposed Subscription. 迪聯放眼競標4億合約

（吉隆坡29日訊）儘管國內頒發的石油與天然氣服務合約料減少，迪聯（DELEUM，5132，主要板貿服）看好整體領域發展，放眼競標總值4億令吉合約。

迪聯集團董事經理南尤斯里今日出席股東常年大會后向記者指出，整個領域獲合約的機會還很多。

截至目前，迪聯訂單總數高達36億令吉，可支撐到2023年。

針對馬石油減少資本開銷報導，他回應說：“迪聯不會受到影響。不過，馬石油減低營運開銷，將對我們造成影響，營運開銷減少代表沒有新發展項目，全部只是現有服務。”

他繼續說，迪聯沒有經常涉及新發展項目，所提供的服務都在生產方面，目前合約皆在進行中。【中国报财经】

迪联次季净利下滑7%

（吉隆坡19日讯）迪联集团（DELEUM，5132，主板贸服股）2015財政年次季（截至6月30日止）净利为1709万令吉，按年下滑7.21%。

营业额为1亿8194万令吉，按年上升11.96%。

其上半年净利按年微跌1.46%，至2532万令吉。而营业额则按年成长20.44%，至3亿1780万令吉。

此外，迪联集团將派发2仙的第一次中期股息，除权及支付日期分別落在9月8日及9月10日。【东方网财经】

迪隆317万购DHSB 20%余股

（吉隆坡20日讯）油气服务供应商迪隆（DELEUM，5132，主板贸服股）宣布，将以316万9000令吉，收购旗下间接子公司Delcom Holdings（简称DHSB）剩余20%。

根据该项收购，意味着DHSB的市值达1585万令吉。

截至去年12月杪，该公司净利涨69.2%，达1406万令吉，上财年同期收831万令吉；营业额则按年涨25.6%，获5229万令吉。

根据文告，迪隆旗下独资子公司Deleum Services私人有限公司，将向DHSB大股东和董事丹斯里阿都卡尼，购买20%股权。

DHSB是一家投资控股公司，持有Penaga Dresser的51%股权，后者主要为油气业者供应、维修和安装阀门和调压器。

阿都卡尼也是Penaga Dresser董事。

迪隆预计，完成收购后，DHSB将于第三季，成为旗下独资间接子公司。

“通过这项收购，我们可获得该公司全部股权及潜在的未来净利。”

現有訂單近30億 迪聯擬年內競標5億工程

（吉隆坡24日訊）迪聯（DELEUM，5132，主要板貿服）在今年內將競標高達5億令吉新工程合約。

該公司董事經理南尤斯里指出，迪聯有信心獲取所有競標合約，包括國內的工程合約。

他在股東大會后說：“我們在特定領域積極競標合約，並且樂觀看待可成功獲取合約，但也有我們拒絕競標的工程。”

南尤斯里補充，迪聯競標的工程合約，涵蓋能源和機械、油田服務和維修，及全面檢查工程。

迪聯現有訂單達29億5000萬令吉，可讓該公司忙碌至2023年。

對于公司前景，他指儘管國際油價下跌，迪聯已加強運作面對挑戰，並會持續合理化成本及專注滲透成長市場。

传赛莫达拟购迪隆股权
注入伊朗油

（吉隆坡6日讯）消息透露，丹斯里赛莫达觊觎伊朗油气资产，并有意将有关资产注入迪隆（DELEUM，5132，主板贸服股）。

《The Edge》引述消息报道，赛莫达有可能收购迪隆股权多达20%。

消息指，迪隆主席兼大股东拿督依芝翰，有意割让他在该公司的股权。他是通过IM控股私人有限公司和Lantas Mutiara私人有限公司，持有迪隆34.57%股权。

据悉，马银行投行正进行此交易，依芝翰和赛莫达双方代表，也为此洽谈了一个月。

赛莫达上市公司马矿业（MMCCORP，2194，主板贸服股）已涉足油气领域，因此，不清楚赛莫达究竟对何种油气资产感兴趣。

目前，迪隆拥有钻探、生产和油井维修或拆除服务方面的技术与产品。该公司也持有美国Sponge-Jet公司的喷砂产品在大马、印尼、新加坡、汶莱、土库曼斯坦和伊朗的独家经销权。

与其他油气公司相比，迪隆财务状况较好，截至6月30日，来自营运活动的净现金流还是正数，负债率也只是0.06倍。

大马油气领域虽不被投资者看好，但伊朗前景应该不错。

经过经济制裁后，伊朗无需减少石油产量，反观其他石油输出国组织（OPEC），则须减产来提高压抑已久的油价。

伊朗提高出口

彭博社也在周二报道，伊朗国家石油公司（NIOC）同意与波斯石油天然气工业发展有限公司（POGIDC）的22亿美元（约90亿9000万令吉）交易。

另外，伊朗国家石油公司国际事务总监瑟耶也表示，伊朗放眼接下来数月增加石油出口量，从每日220万桶増至每日235万桶。【e南洋】

传赛莫达收购股权
迪隆证实大股东接数询问

（吉隆坡7日讯）迪隆（DELEUM，5132，主板贸服股）发文告称，集团非独立非执行主席兼大股东拿督依芝翰近日的确收到一些单位对其所持股权感兴趣的非正式询问，不过，目前还未有定论。

迪隆是针对媒体报道丹斯里赛莫达有意收购该公司20%股权和依芝翰有意割让股权的报道，作出回应。

文告指出，迪隆向依芝翰查询后，正式他近日确实接获不少对所持股权感兴趣的非正式询问，不过目前还没有任何结论。

该公司表示，若有任何实质进展，会在适时作出宣布。

We wish to refer to the article entitled “Syed Mokhtar eyeing 20% in Deleum, Iran O&G assets?” that was published in The Edge Financial Daily on 6 October 2016. The Company has promptly conducted a due inquiry on the article with Dato’ Izham bin Mahmud, the Non-Independent Non-Executive Chairman and major shareholder of the Company, and wish to advise that Dato’ Izham had received informal enquiries from several interested parties on his equity interest in the Company.
