英莎1283万购DGSB 近20%

（吉隆坡2日讯）英莎（INSAS，3370，主板金融股）以1282万5000令吉，收购DGSB（DGSB，0131，创业板）的19.91%股权。

英莎向交易所报备，独资子公司英莎科技通过场外交易向OMESTI（OMESTI，9008，主板科技股）收购DGSB的2亿7000万股，相等于19.91%股权，每股收购价为4.75仙。

DGSB是一家控股公司，而子公司则提供电脑网络解决方案与系统整合、数字媒体解决方案及服务，还有分销及维修电脑网络、网络安全存储及网络管理解决方案。

而英莎科技则提供资讯科技与咨询服务，以及电子与电信相关产品贸易。

这项收购预计将可为两家公司在资讯科技业务方面带来协同效益。

英莎科技是益纳利美昌（INARI，0166，主板科技股）其中一位创办股东，并与母公司英莎联手持有益纳利美昌19.82%股权。

每股4.75仙收购价相比于DGSB的5日交易量加权平均市价（VWAP）溢价0.21%。【e南洋】

谢汪潮．英沙士，可以大方一点

投资一家公司，最期待的是股价上涨或者丰硕股息到手，如果两者兼得，就最好不过了；如果经营不善，两者皆失，只能自认倒霉。

一般上，如果没有太大的投资计划等着排队出炉，公司会乐于把部份现金派发给股东当股息，让小股东也分享这个美好的硕果。

但是，如果公司拥有丰硕现金在手，派息时却“小里小气”的，也难怪小股东会嘟嘟嚷嚷。

日前出席英沙士（INSAS，3379，主板金融组）股东大会时，就出现了类似的状况。

多名股东对该公司管理层颇有怨言，综合股东的看法，主要强调依公司财务状况来看，基本面相当优良，简直是超级低估。因此，小股东们不断向管理层要求派发更多股息，毕竟持有该公司股票多年，要求派发股息也是情理之中。

年报显示，英沙士过往5年的税后净利从6204万1000令吉走高至1亿8101万令吉，5年的复合成长率（CAGR）达23.88%，资产高达22亿零497万9000令吉，但总借贷只有5亿4861万3000令吉。

英沙士每股净利为27.3仙，按上周94仙的闭市价，本益比只有3.44倍，按常规来看，确实是被低估了。

股东认为英沙士业务稳定，旗下的高档餐厅DOME备受食客们好评，管理层经营餐厅业务有方，更应该让股东们共同分享盈利。更重要的是，英沙士手握近4亿令吉现金，如果愿意派发10仙股息，股价理应在3令吉左右。

小股东在大会上与管理层软磨硬泡长达2小时，惟管理层似乎无动于衷，并没有作出正面回应，只表示：“若钟情于股息，应当投资股息股，而非英沙士，因英沙士需要长期投资，方可看到回酬。”

依管理层说法，英沙士似乎有更长期的大计在筹谋着，“长期就会有回报”；但若从近4年的表现来看，情况可能不尽如此。

2014年首个交易日，英沙士股价为88仙，对比94仙，这4年以来，股价只是起了5仙，股价的涨势，4年的CAGR只有区区1.66%，连同每年1仙的股息计算在内，回酬也只有2.73%，比丰隆银行2.9%定期利率的回酬并没有好太多。

这样看来，英沙士管理层应该大方一点派息，如此一来，可为自己赚取了名声，小股东又能获取实际回酬，双方各有所得，何乐而不为呢？

助中小企第三板上市．英沙士放眼营收改善

尽管证券业务营运环境充满挑战，惟英沙士（INSAS，3379，主板金融组）将持续协助中小企业透过领先企业家加速平台（LEAP，俗称新三板）上市，攫取个中商机。

早前出席该公司股东大会的小股东透露，管理层表示，旗下证券行在2017财政年为4家公司在马股创业板进行首次公开售股（IPO），2018财政年则会为一家中小企业在新三板进行IPO。

英沙士旗下证券行为M&A证券行。交易所数据显示，2017年，由M&A证券行处理上市的公司包括马登（MATANG，0189，创业板种植）、英大建筑（INTA，0192，创业板建筑）及红概念（REDIDEA，03002，LEAP市场）。

针对科技服务业务营业额急挫65%，至1160万令吉，管理层表示，主要是市场影响，但将会努力改善营业额。

将推出共享与租赁程式

新加坡Roset Limousine公司租车业务方面，管理层称，基于召车程式（Apps）Grab与优步大行其道，以致当地业务受冲击，因此未来将推出本身的共享与租赁程式，提供可负担价格给予客户。目前，该服务遍布新加坡逾160个地点。

“租车维修费相当低，且无需太多管理人员。”

英沙士执行副主席兼首席执行员拿督斯里汤国基也是OMESTI公司（OMESTI，9008，主板科技组）其中一名大股东，持有11.3%的股权。

询及是否有意从OMESTI公司私下配售10%股权中增持更多股权时，汤国基不愿透露详情，仅表示现阶段仍在等待中。

OMESTI公司蒙亏46万令吉，有意发售4300万新股筹2150万令吉，更大用意是要引进策略股东。据悉，该公司已与数名潜在股东会晤，他们对有关股权“非常有兴趣”。

OMESTI公司3名大股东是拿督马守国（19.06%持股）、蒙帝罗（17.84%股权）及汤国基。
