[Registration No. 201101016207 (944341-K)] (“Wira Land” or “the Purchaser”), a wholly-owned subsidiary of DOMINAN, had entered into a Conditional Sale and Purchase Agreement ("SPA") on 28 October 2021 with Senai Airport City Sdn. Bhd. [Registration No. 200501002266 (679312-V)] (“the Vendor") for the purchase of a Property, at the Purchase Consideration of RM21,189,762.00 (Ringgit Malaysia Twenty-One Million One Hundred Eighty Nine Thousand Seven Hundred Sixty Two only) (“Purchase Price”) and subject to the terms and conditions as stipulated in the said SPA.
The highest percentage ratio applicable to the said Acquisition is 6.80%.
None of the directors, major shareholders of DOMINAN and/or persons connected to them has any interest, direct or indirect in the said Acquisition.

Basis of and Justification for the Consideration
The Company had carried out internal market research by comparing various offers from real estate agents. Overall, available industrial land in the vicinity of Senai Airport City (“SAC”) are selling at similar price, but without infrastructure built in.
In addition, the management had held several reviews to evaluate the potential development of SAC, and believe that SAC’s offer of RM21,189,762.00 for the piece of industrial land with infrastructure built in, is reasonable and fulfills the Company’s investment objective.
