The Company wishes to announce that it has come to its attention that the solicitors acting for Mr Leong Seng Wui and the other 2 requisitionists in the Kuala Lumpur Lumpur High Court Originating Summons No.WA-24NCC-732-06/2022 ("OS 732"), Messrs Ong Kok Bin & Co, had received a Notice of Change of Solicitors and a Notice of Appeal to appeal against the decision of the Court delivered on 29 August 2022 from Messrs Bachan & Kartar, who purportedly acts for the Company thereof. Messrs Ong Kok Bin & Co had also received a Notice of Appointment of Solicitors filed in OS 732 by Messrs Bachan & Kartar, who also claims to act for the following purported Proposed Interveners being the former directors of the Company:- (1) Loh Ming Choon; (2) Wong Siaw Puie; (3) Sin Hock Min; (4) Mohamad Hanafiah bin Zakaria; and (5) Koo Chen Yang. The Company did not instruct Messrs Bachan & Kartar on the above actions and will be seeking legal advice on the legality of the actions above. We refer to the article which appeared in The Edge newspaper on Monday, 03 October 2022 titled “Caely appoints former cops to board amid police probe over misuse of funds allegations" in particular the following paragraphs reproduced below: 1)         “According to people familiar with the investigation, officers had raided the offices of Caely on Sept 14 based on a police report lodged with the Bukit Aman CCID by Datin Sri Jessie Wong Siaw Puie, who was Caely’s executive vice-chairman until she was removed from her post following a Kuala Lumpur High Court ruling on Aug 29.” 2)         “This led to the police detaining the driver under Section 201 of the Penal Code for disposing of or hiding evidence of a crime with the intention of avoiding punishment under the law.” 3)         “But the lawsuit has been withdrawn by the group under the new board, a person familiar with the matter told The Edge.” 4)         “When they (Leong, Kang, Ng and Krishnan) took over the board, the first thing they did was to call back the lawsuit because they didn’t want the lawsuit to continue. At the outset, Caely wishes to clarify that the police did not arrest anyone under Section 201 of the Penal Code for disposing of or hiding evidence of a crime with the intention of avoiding punishment. On 14 September 2022, the police was with a search warrant issued by the Court to retrieve several old records/documents of one subsidiary to assist in their investigation. In this respect, there is no operational or financial impact to the Group. Caely however has requested from the police to supply a copy of the police report but was not supplied so far. Further to the Court Order of 29 August 2022, Caely served a notice to Messrs. Bachan & Kartar to immediately cease from acting or holding out as its solicitors because the former directors were removed on 15 June 2022 and they have no power to appoint Messrs. Bachan & Kartar to act for the Company and as such, their appointment is invalid under the circumstances. Caely had then appointed Messrs. Wilson Lim to replace Messrs. Bachan & Kartar and there is no withdrawal of the case as stated in The Edge. This announcement is dated 03 October 2022.
