GROMUTUAL BERHAD ("GMUTUAL" or "the Company"): ACQUISITION OF LANDS BY ITS WHOLLY-OWNED SUBSIDIARY COMPANY, HARMONY GALLERY SDN. BHD.
The Board of Directors of Gromtual Berhad ("GMUTUAL") wishes to announce that Harmony Gallery Sdn. Bhd. [Registration No. 199701005192 (420688-V)] ("the Purchaser"), a wholly-owned subsidiary of GMUTUAL has entered into a Conditional Sale and Purchase Agreement (“SPA”) on 14th October 2021 with DAC Land Sdn. Bhd. [Registration No. 201601032265 (1203206-M)], ("the Vendor") for the purchase of all that piece of freehold land held under HS(D) 596136, PTD 203803, Mukim of Tebrau, in District of Johor Bahru, Johor, at the purchase consideration of RM3,000,000 (Ringgit Malaysia Three Million only) (“Purchase Price”) and subject to the terms and conditions as stipulated in the said SPA.

The highest percentage ratio applicable to the said Acquisition is 0.82%.

None of the directors, major shareholders of GMUTUAL and/or persons connected to them has any interest, direct or indirect in the said Acquisition.

The existing use of the land and the category of land use  
The existing use of the land and its category is building for commercial purposes.

Basis of and Justification for the Consideration
The basis of arriving at the purchase consideration of RM 3million was after taking into consideration of potential development of the land, accessibility, the strategic location of the land and based on a ‘willing-buyer willing-seller’ basis.

The Board of Directors of Gromtual Berhad ("GMUTUAL") wishes to announce that Rainbow Entity Sdn. Bhd. [Registration No. 199701005389 (420885-D)] ("the Purchaser"), a wholly-owned subsidiary of GMUTUAL has entered into a Conditional Sale and Purchase Agreement (“SPA”) on 1 November 2021 with Messrs. Senai Airport City Sdn. Bhd. [Registration No. 200501002266 (679312-V)], ("the Vendor") for the purchase of a Property, at the purchase consideration of RM21,326,976.00 (Ringgit Malaysia Twenty-One Million Three Hundred Twenty Six Thousand Nine Hundred Seventy Six only) (“Purchase Price”) and subject to the terms and conditions as stipulated in the said SPA.

The highest percentage ratio applicable to the said Acquisition is 5.83%.

None of the directors, major shareholders of GMUTUAL and/or persons connected to them has any interest, direct or indirect in the said Acquisition.
